14. Party C must truthfully introduce the true situation of the software to the user. In addition, relevant questions raised by users should be answered in a timely manner. The unclear problems shall be solved by contacting Party A in time.

15. Unless Party B specially informs Party A in writing, Party A will not retain all the data file information and achievement information submitted by Party B, and negotiate the storage fee. Party A only retains and keeps confidential the personal information related to login and contact such as Party B's user email and mobile phone number.

16. Party A reserves the right to modify this Agreement from time to time and notify Party C of its sales performance in a timely manner.

17. This agreement has the same legal effect as the software use agreement.

Attachment: Party A's Requirements on the Seller（Namely, qualification identification of sellers）

1. The seller must have the professional basic knowledge of the corresponding software.

2. The seller must be fully familiar with each software released by this website. Carefully study the documents and information published by the website, such as "software features", "main functions", "software system introduction", carefully watch the demonstration video, and write commentaries accordingly, and truthfully and clearly explain the functions, application scope, software features, intelligence level and other contents of the software published by the website to users, and truly explain and recommend the software published by the website to users.

3. For users who pay the annual fee for the first time, if they decide to give up the long-term use right and ask for a refund within 15 days, the seller must unconditionally refund in full.

2. 本网所发布的在线软件实行年费制。

3. 用户通过充分免费试用后，若决定长期使用须缴纳年费，同时将解除在试用期间的所有限制，以最大限度的使用本网发布的软件。

4. 对第一次缴纳年费的用户（即乙方），若15日内决定放弃长期使用权要求退款的，本网将无条件全额退款。本网将对不再要求退款的用户开放软件的所有功能。

5. 已经缴纳年费的用户可以任意使用目前本网已经发布的八款智能化专业软件。

6. 已经缴纳年费的乙方用户，若15日内未要求退款，甲方将提供八款软件的完整使用说明书电子版一套，乙方应承诺不转借他人，因说明书中包含了一些研发信息，乙方有义务为甲方保密。

7. 用户账号就是用户在本网注册时的电子邮箱，购买时需准确提供。该电子邮箱在适当的场合也称为用户名。为方便沟通，购买时最好一并提供真实的手机号。

8. 一个用户账号允许在多台电脑上多人登录使用，但每一时刻仅限一人登录，不允许出现重复登录。若一人已经登录，后登录者需要等待前者使用完成后退出才能接着登录。

9. 丙方可以得到其销售价的50%作为销售工作的劳动报酬，我方留50%。

10.一个乙方用户账号每年需缴纳年费6万元。

11.下一年的年费在下一年的第一个月内付清，否则将暂停使用，直到补齐连续付费方可恢复使用权。

12. 若乙方直接联系甲方购买，甲方将直接对销售工作负责并自觉主动履行“甲方对销售方的要求”中的条款。

13. 丙方只管销售，售后服务等技术问题由甲方完全负责，但丙方应把用户反映的问题告知甲方去解决。

14. 丙方必须如实向用户介绍软件的真实情况。并且，应及时回答用户提出的相关问题。不清楚的问题应及时与甲方联系解决。

15. 除非乙方特别书面告知甲方，否则甲方不会保留乙方的所有有关提交的数据文件信息以及成果信息，并同时协商保管费事宜。甲方仅保留并保密乙方用户邮箱、手机号等与登录、联系有关的个人信息。

16. 甲方保留不定期修改本协议的权利，并及时通知已经有销售业绩的丙方。

17. 本协议与软件使用协议具有相同的法律效力。

附：甲方对销售方的要求（即，对销售者的资格认定）

1. 销售方必须具备相应软件的专业基础知识。

2. 销售方必须充分熟悉本网所发布的每一款软件。认真研读“软件特点”、“主要功能”、“软件系统简介”等本网所发布的文档和信息、认真观看演示视频，据此会写解说词，并向用户如实清楚的讲解本网所发布的各款软件的功能、应用范围、软件特点、智能化程度等内容，真实的向用户讲解推荐本网所发布的软件。

3. 对第一次缴纳年费的用户，若15日内决定放弃长期使用权要求退款，销售方必须无条件全额退款。
